These Terms & Conditions (“Terms”, “Terms and Conditions”, or “Agreement”) govern the use of the website www.primewebdigital.com and the purchase or use of digital marketing, website development and related services provided by Prime Web Digital (“Prime Web Digital”, “we”, “us”, or “our”).
By accessing our website, submitting an enquiry, engaging our services, making a payment, approving a proposal or otherwise entering into a service arrangement with Prime Web Digital, you (“Client”, “you”, or “your”) acknowledge that you have read, understood and agreed to these Terms & Conditions.

The exact services, deliverables, timelines and fees applicable to a particular Client will be determined by the relevant proposal, quotation, invoice, work order, agreement or written communication issued or approved by Prime Web Digital.
2. Acceptance of Terms
By engaging Prime Web Digital or approving a proposal, quotation, invoice or service plan, the Client agrees to be bound by these Terms.
Where a separate written agreement or proposal contains specific terms for a particular project, those project-specific terms shall apply together with these Terms. In case of a genuine inconsistency, the mutually agreed written project terms may prevail for that specific matter.
3. Service Scope
Prime Web Digital will provide the services described in the applicable proposal, quotation, package or written scope.
Services outside the agreed scope may be treated as additional work and may incur additional fees.
Prime Web Digital reserves the right to determine the professional methods, tools, workflow and implementation approach used to deliver the agreed services, subject to the agreed scope.
4. Client Responsibilities
The Client agrees to provide accurate, complete and timely information, materials and access required to perform the services.
Depending on the service, this may include:
- Business information
- Product and service information
- Website access
- Hosting and domain access
- Google Business Profile access
- Google Ads access
- Meta Business Manager / Ads access
- Social media account access
- Images, logos, videos and brand materials
- Pricing and promotional information
- Legal or regulatory information relevant to the Client’s business
- Approvals and feedback
The Client is responsible for ensuring that information, claims, offers, testimonials, product details, images, videos, trademarks and other materials supplied to Prime Web Digital are accurate, lawful and authorized for use.
Delays caused by missing information, delayed approvals, unavailable access or Client-side issues may affect project timelines.
5. SEO Services and No-Guarantee of Results
Prime Web Digital will make reasonable professional efforts to improve the Client’s online visibility through agreed SEO activities.
However, Prime Web Digital does not guarantee any specific search-engine ranking, position, traffic level, number of enquiries, leads, conversions, sales, revenue or return on investment.
SEO results may be affected by factors outside Prime Web Digital’s reasonable control, including:
- Search-engine algorithm changes
- Search-engine policies
- Competition
- Website quality and technical condition
- Existing domain history
- Content quality
- Search demand
- Third-party websites
- Indexing and crawling decisions
- Client actions
- Changes in search results
Any rankings, traffic projections, estimated outcomes or performance expectations communicated before or during a project are estimates and shall not constitute a guarantee unless expressly agreed otherwise in writing.
6. Google Ads, Meta Ads and Paid Advertising
Prime Web Digital may manage advertising campaigns on platforms including Google Ads, Facebook, Instagram and other advertising platforms.
The Client acknowledges that advertising performance cannot be guaranteed.
Prime Web Digital does not guarantee any specific number of:
- Leads
- Calls
- Messages
- Clicks
- Impressions
- Conversions
- Purchases
- Sales
- Revenue
- Return on Ad Spend (ROAS)
- Cost per Lead
- Cost per Acquisition
Advertising performance may be influenced by budget, competition, market demand, audience behaviour, platform algorithms, bidding conditions, account history, landing-page performance, website performance, creative quality, product/service demand and other external factors.
7. Advertising Platform Approval, Rejection and Suspension
Google, Meta, Facebook, Instagram and other advertising platforms operate independently of Prime Web Digital.
Prime Web Digital does not control the final decision of any third-party platform regarding:
- Ad approval
- Ad rejection
- Account verification
- Account restrictions
- Spending limits
- Account suspension
- Business restrictions
- Policy reviews
- Ad delivery
- Audience availability
- Algorithm changes
- Platform outages
- Changes to advertising policies
Prime Web Digital may make reasonable professional efforts to prepare campaigns and materials in accordance with applicable platform policies, but cannot guarantee that an advertisement, account or campaign will always be approved, remain active or continue to deliver without interruption.
Where a platform rejects, restricts, pauses or suspends advertising activity, Prime Web Digital may assist with reasonable troubleshooting or appeal processes within the agreed scope; however, reinstatement or approval cannot be guaranteed.
Google expressly reserves the ability to disapprove ads and suspend accounts for policy or Terms violations, including serious or repeated violations.
8. Advertising Budget and Third-Party Charges
Advertising budgets paid to Google, Meta or another advertising platform are separate from Prime Web Digital’s professional service fees unless expressly stated otherwise.
Prime Web Digital is not responsible for:
- Platform advertising charges
- Taxes charged by advertising platforms
- Third-party software charges
- Domain or hosting charges
- Premium plugins or themes
- Stock images, music or other third-party assets
- Payment gateway charges
- Other third-party expenses
The Client remains responsible for maintaining valid payment methods and sufficient advertising funds where required.
Advertising accounts may be paused or suspended by platforms because of payment issues, verification issues or policy matters.
9. Social Media Management and Content
Where Prime Web Digital provides social media management, content creation, posts, reels, videos, captions, creatives or advertising copy, reasonable professional care will be taken in preparing the material.
However, the Client remains responsible for the accuracy and legality of business-specific information, product claims, offers, pricing, testimonials, medical/financial/legal claims and other information supplied or approved by the Client.
Where Client approval is requested, the Client is responsible for reviewing the content before publication.
Once content has been approved by the Client, Prime Web Digital may publish or schedule the approved content according to the agreed service.
10. Content Errors and Technical Issues
Prime Web Digital will make reasonable efforts to maintain accuracy while creating and publishing content.
However, occasional typographical errors, technical errors, formatting issues, platform glitches, publishing errors, broken links, delayed updates or other unintended issues may occur despite reasonable care.
Upon being notified of a genuine error attributable to Prime Web Digital, we may take reasonable corrective action within the applicable service scope.
Prime Web Digital shall not be responsible for losses arising from inaccurate, incomplete or misleading information supplied, approved or published at the Client’s direction, or from circumstances beyond our reasonable control.
11. Client Approval and Responsibility
For website content, advertising campaigns, offers, social-media content, creatives, landing pages or other materials requiring Client approval, the Client should review the material before publication or launch.
The Client is responsible for confirming that approved material accurately represents its business, products, services, prices, claims, offers and legal requirements.
Client approval may be provided through email, WhatsApp, project-management tools, written communication or other mutually used communication channels.
12. Website Development Services
Website development services will be performed according to the agreed scope.
Unless expressly included, additional charges may apply for:
- Additional pages
- Major design changes
- Additional functionality
- Premium themes
- Premium plugins
- Third-party integrations
- Hosting
- Domain registration
- Licensed media
- External APIs
- Custom development outside the approved scope
Website performance may also depend on hosting providers, plugins, themes, browsers, third-party services and other technologies outside Prime Web Digital’s direct control.
13. Third-Party Platforms and Services
Prime Web Digital may use or work with third-party platforms including, but not limited to, Google, Meta, Facebook, Instagram, YouTube, WordPress, hosting providers, domain registrars, analytics providers, payment providers and other third-party services.
Prime Web Digital does not control third-party platforms and cannot guarantee their availability, security, policies, pricing, features, algorithms or continued operation.
Changes made by third parties may affect Client websites, advertising campaigns, social media accounts, analytics, rankings, integrations or other services.
14. No Guarantee of Business Results
Digital marketing is influenced by numerous external variables.
Unless expressly guaranteed in a separate written agreement, Prime Web Digital does not guarantee:
- Business growth
- Sales
- Revenue
- Profit
- Lead volume
- Customer acquisition
- Search rankings
- Website traffic
- Advertising results
- Social-media reach
- Engagement
- Viral performance
- Specific ROI or ROAS
Previous performance, case studies, examples or testimonials should not be interpreted as a promise of identical results for another Client.
15. Fees and Payments
Fees will be communicated through a quotation, proposal, invoice, package, service agreement or other written communication.
Unless otherwise agreed:
- Service fees are payable according to the agreed payment schedule.
- Work may commence after the required advance payment is received.
- Additional work outside the agreed scope may be charged separately.
- Government taxes, applicable GST and third-party costs may be additional where applicable.
- Delayed payments may result in suspension or delay of services.
Prime Web Digital reserves the right to pause ongoing work where payments remain overdue.
16. Cancellation and Termination
Either party may request termination of an ongoing service arrangement subject to the applicable notice period or project agreement.
Where work has already been performed, third-party costs incurred, resources allocated or deliverables substantially completed, cancellation may not automatically entitle the Client to a full refund.
Any refund, where applicable, will be determined according to the agreed proposal, invoice, refund policy or written agreement.
Prime Web Digital may suspend or terminate services where the Client:
- Fails to make required payments
- Provides unlawful or misleading information
- Requests activity that violates applicable law or platform policies
- Abuses or threatens staff
- Repeatedly fails to provide required access or approvals
- Uses the services for unlawful purposes
17. Refunds
Unless otherwise expressly stated in writing, payments for completed work, consumed services, third-party expenses and approved deliverables are generally non-refundable.
Any refund arrangement will be subject to the applicable proposal, invoice, service agreement and refund/cancellation policy.
Third-party payments made to Google, Meta, hosting companies, domain providers, software providers or other external services are subject to the respective third party’s refund policies.
18. Intellectual Property
Upon full payment, ownership of final custom deliverables specifically created for the Client may be transferred or licensed to the Client as agreed in writing.
Prime Web Digital may retain ownership of:
- Pre-existing templates
- Internal methodologies
- Frameworks
- Processes
- Reusable code
- Generic design systems
- Internal tools
- Know-how
- Third-party licensed materials
Third-party assets remain subject to their respective licenses.
Prime Web Digital may request permission to display completed work in its portfolio, website or marketing materials unless the Client has expressly requested confidentiality in writing.
19. Copyright and Third-Party Materials
The Client is responsible for ensuring that any material supplied by the Client does not infringe copyright, trademark, privacy or other rights of third parties.
Prime Web Digital may use licensed or commercially available resources where required, subject to their respective licenses.
Prime Web Digital will not knowingly use unlawful third-party material, but the Client remains responsible for materials and claims supplied or specifically requested by the Client.
20. Confidentiality
Prime Web Digital will use reasonable care to keep confidential business information received from the Client during the course of providing services.
Confidential information does not include information that:
- Is publicly available
- Was already lawfully known
- Is independently developed
- Must be disclosed under applicable law or legal process
21. Data and Privacy
Personal information may be processed in accordance with the Prime Web Digital Privacy Policy available on www.primewebdigital.com.
The Client is responsible for ensuring that information, customer lists, databases and other personal data provided to Prime Web Digital may lawfully be shared and processed for the requested services.
22. Limitation of Liability
To the maximum extent permitted by applicable law, Prime Web Digital shall not be liable for indirect, incidental, special, consequential or business losses arising from circumstances outside its reasonable control, including loss of profits, loss of revenue, loss of leads, loss of business opportunities, loss of rankings, advertising performance fluctuations, platform restrictions, algorithm changes, account suspension, website downtime, third-party service interruptions or market conditions.
Prime Web Digital shall not be responsible for consequences arising from Client-provided information, Client-approved content, Client decisions, third-party platforms, third-party services or circumstances beyond Prime Web Digital’s reasonable control.
Nothing in these Terms is intended to exclude or limit any liability that cannot lawfully be excluded or limited under applicable law.
23. Client Indemnity
To the extent permitted by applicable law, the Client agrees to indemnify and hold harmless Prime Web Digital and its personnel from third-party claims, losses or expenses arising from:
- Information supplied by the Client
- Client-provided content
- Client-approved claims or advertisements
- Client products or services
- Alleged infringement caused by Client materials
- Unlawful or misleading Client instructions
- Client’s breach of applicable law or platform rules
This clause does not apply to the extent that a claim is finally determined to have arisen from Prime Web Digital’s own unlawful conduct or other liability that cannot legally be excluded.
24. Force Majeure
Prime Web Digital shall not be responsible for delays or failures caused by circumstances beyond reasonable control, including internet outages, hosting failures, server problems, cyber incidents, natural disasters, government actions, strikes, platform outages, changes in third-party policies, algorithm changes, war, public emergencies or other similar events.
25. Website Information Disclaimer
Information published on www.primewebdigital.com is provided for general informational and business-service purposes.
Service descriptions, pricing, examples and other website information may be updated or changed without prior notice.
Nothing on the website should be considered a guarantee of business results.
26. Prohibited Use
Clients shall not use Prime Web Digital’s services to knowingly facilitate unlawful activity, fraud, deceptive practices, infringement, impersonation, spam, malicious activity or activity prohibited by applicable advertising-platform policies.
Prime Web Digital reserves the right to refuse or discontinue work where a requested activity may violate applicable law, platform policies or reasonable professional standards.
27. Advertising and Platform Compliance
Prime Web Digital aims to follow applicable advertising-platform requirements when managing campaigns.
However, the final interpretation and enforcement of platform policies remains with the respective platform.
The Client acknowledges that platform policies can change without prior notice and that campaign or account performance may be affected accordingly.
Prime Web Digital does not undertake to bypass, evade or manipulate the review, verification or enforcement systems of any advertising platform.
28. Governing Law and Jurisdiction
These Terms shall be governed by the applicable laws of India.
Subject to applicable law, disputes arising in connection with these Terms or services provided by Prime Web Digital shall be subject to the appropriate courts having jurisdiction in Indore, Madhya Pradesh, India, unless otherwise required by applicable law.
Nothing in these Terms is intended to unlawfully restrict any legal remedy or proceeding available under applicable law.
29. Changes to These Terms
Prime Web Digital may update these Terms & Conditions from time to time to reflect changes in services, business practices, technology or applicable laws.
The latest version published on www.primewebdigital.com will apply to future use of the website and services, subject to any separate written agreement already entered into with a Client.
30. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue to the extent permitted by applicable law.
31. Entire Agreement
These Terms, together with the relevant quotation, proposal, invoice, service agreement, refund policy, privacy policy and other written documents expressly incorporated into the Client’s engagement, constitute the understanding between Prime Web Digital and the Client regarding the applicable services.
